FISSURE — End User License Agreement

Please read this End User License Agreement ("Agreement") carefully before downloading, installing, or using Fissure ("Software"). By purchasing, downloading, installing, or using the Software, you ("Licensee" or "you") agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software and contact Terraechostudios@gmail.com within 14 days of purchase for a refund.

This Agreement is a legal contract between you and Terra Echo Studios LLC, a North Carolina limited liability company ("Licensor," "we," "us," or "our").


1. Grant of License

Subject to your compliance with this Agreement and payment of the applicable purchase price, Licensor grants you a non-exclusive, non-transferable, worldwide license to:

  • Install and use one (1) copy of the Software on computers you personally own or control;
  • Use the Software for personal and commercial purposes, including processing audio files for paid client projects, commercial music releases, film and media productions, content creation, and other revenue-generating activities;
  • Retain and use the audio stem files produced by the Software in any personal or commercial project.

This is a license, not a sale. Licensor retains all ownership and intellectual property rights in and to the Software.


2. Permitted Uses

You may:

  • Install the Software on multiple computers you personally own or primarily use (e.g., a desktop and a laptop);
  • Use the Software to process audio files for yourself or on behalf of clients;
  • Include stem files produced by the Software in commercial releases, sync licenses, streaming releases, live performances, and other professional contexts, subject to Section 5 below;
  • Make one (1) backup copy of the Software for archival purposes.

3. Restrictions

You may not:

  • Sell, sublicense, rent, lease, lend, or otherwise distribute the Software or any copy of it to any third party;
  • Share your license with other individuals or organizations — each user requires their own license;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except and only to the extent permitted by applicable law;
  • Modify, adapt, translate, or create derivative works based on the Software itself;
  • Remove, alter, or obscure any copyright notice, trademark, or other proprietary rights notice in or on the Software;
  • Use the Software to develop a competing product or service;
  • Circumvent any technical measures designed to control access to or use of the Software.

4. AI Models and Offline Operation

The Software uses artificial intelligence models to perform audio stem separation. These models are bundled inside the application and are installed locally the first time you launch the Software — no download and no network connection are required.

By using the Software, you acknowledge and agree that:

  • All audio processing is performed entirely on your local machine;
  • Your audio files are never uploaded to, transmitted to, or accessed by any server operated by us or any third party;
  • The Software operates fully offline and does not require an internet connection to function.

The bundled models are derived from open-source components; see Section 6 (Open Source Components) for attributions and license terms.


5. Audio Copyright — Your Responsibilities

This is important. Please read carefully.

The Software is a tool for processing audio files you provide. It does not grant any copyright or intellectual property rights with respect to the audio content you process.

You represent and warrant that:

  • You own, or have obtained all necessary rights, licenses, consents, and permissions to process, any audio file you submit to the Software;
  • Your use of the Software and any resulting stem files complies with all applicable copyright laws and the terms of any license agreements governing the source audio.

You acknowledge and understand that:

  • Stem files produced by the Software are derivative works of the original audio recording and remain subject to the copyright of the original sound recording and underlying musical compositions;
  • The Software does not clear, transfer, or affect any copyright in the source audio or the resulting stems. If the source audio is protected by copyright, the stems are too;
  • You are solely responsible for ensuring your use of stem files complies with applicable copyright law, including obtaining any necessary synchronization, mechanical, master use, or other licenses before using stems in commercial contexts;
  • Licensor is not responsible or liable for any copyright infringement arising from your use of the Software or the stem files it produces.

Nothing in this Agreement constitutes legal advice regarding copyright. If you are uncertain whether your use of particular audio material is permitted, you should consult a qualified attorney.


6. Open Source Components

The Software incorporates certain open source software components, each of which is subject to its own license terms. Your use of the Software includes use of these components subject to those terms. The following components and their licenses are included:

A complete list of open source components and their license texts is available at https://terraechostudio.com/legal/open-source or within the application bundle in the OPEN_SOURCE_LICENSES.txt file. The open source licenses are not altered by this Agreement.


7. Intellectual Property

The Software, including its design, code, algorithms, user interface, documentation, and all associated intellectual property rights, is and remains the exclusive property of Terra Echo Studios LLC. This Agreement does not transfer any ownership rights to you. All rights not expressly granted are reserved.

"Fissure" and "Terra Echo Studios" are trademarks or trade names of Terra Echo Studios LLC. You may not use them without prior written permission.


8. Updates and New Versions

Licensor may, at its sole discretion, provide updates, bug fixes, or new versions of the Software. Any such updates or new versions, if provided to you, will be subject to this Agreement unless accompanied by a separate license agreement. Licensor is not obligated to provide any updates or support.

Licensor reserves the right to modify the terms of this Agreement for future versions of the Software. Continued use of an updated version of the Software constitutes acceptance of the updated terms.


9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT:

  • THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • THE RESULTS PRODUCED BY THE SOFTWARE, INCLUDING AUDIO STEM SEPARATION, WILL BE ACCURATE, COMPLETE, OR OF ANY PARTICULAR QUALITY;
  • THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR BE FREE FROM ERRORS, BUGS, OR DEFECTS;
  • ANY DEFECTS WILL BE CORRECTED.

The quality of AI-generated audio stem separation varies significantly based on the source audio, musical genre, recording quality, and other factors outside of Licensor's control. You assume all risk regarding the quality and suitability of the Software's output for your intended purpose.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE;
  • ANY DAMAGES ARISING FROM YOUR RELIANCE ON THE QUALITY OR ACCURACY OF THE SOFTWARE'S OUTPUT;
  • ANY DAMAGES ARISING FROM COPYRIGHT INFRINGEMENT OR OTHER CLAIMS RELATED TO YOUR USE OF AUDIO CONTENT PROCESSED BY THE SOFTWARE,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, LICENSOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.


11. Indemnification

You agree to indemnify, defend, and hold harmless Terra Echo Studios LLC and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Software; (b) your processing of any audio file using the Software; (c) your use of stem files produced by the Software; (d) any violation of this Agreement by you; or (e) any infringement of any third-party intellectual property rights in connection with your use of the Software.


12. Termination

This Agreement is effective until terminated.

Your rights under this Agreement terminate automatically and without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and permanently delete all copies in your possession or control.

Sections 5 (Audio Copyright), 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution) survive termination.


13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.


14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Software shall be resolved by binding arbitration in Boone, North Carolina, administered under the rules of the American Arbitration Association (AAA), before a single arbitrator. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in North Carolina to prevent irreparable harm pending arbitration.

CLASS ACTION WAIVER: You agree that any dispute will be resolved on an individual basis and not as part of a class action, collective action, or representative proceeding.


15. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.


16. Entire Agreement

This Agreement constitutes the entire agreement between you and Terra Echo Studios LLC with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Software.
